3月16日(周二)晚7:00-9:00,Lee Petillon先生將作專題演講,主題為創辦及經營小型企業的常見問題。屆時,Petillon先生將會與大家討論小型企業如何設立以及運作有關的法律等事項。
Petillon先生在Petillon, Hiraide & Loomis LLP律師事務所專職于企業及證券法。他專攻早期技術公司以及私有權益基金表示法。他曾經是一名發展銀行家,曾為一閒風險投資基金公司,一閒生産製作商公司以及一閒高科技公司擔任企業顧問。Petillon先生曾經與人合著兩本書,分別是《研究與發展有限合夥公司》(Clark Boardman公司1984年和1985年出版)以及《啓動公司表示法》(Thomson West公司1992年至2006年出版);此外,Petillon先生曾經撰寫《加州交易法則》(1996年由Bancroft-Whitney公司出版)第九章“股份與股東”。
Petillon先生是極多聯邦及州法的發起人,包括SCOR(加州小型企業產品登記)法案,此法案于1993年1月1日正式生效。其他六個法案于1993年至2001年被加州立法機關採用于如何為小型企業提供便利。這些法案包括有資本使用權公司法案(SB2189,1999年七月一日始生效);加州授權投資者特許法案(AB1644,2001年始生效);以及一個國會法案:小型企業投資激勵法案(HR3264,1999年始生效)。
Petillon先生分別在LARTA(洛杉磯區域技術聯盟),加州製造技術中心,南灣區科學基金會以及致力於幫助其他加州地區以技術和製作為基礎的非盈利機構擔任經理職務。他是ACE-Net.org的法律顧問及經理(一個聯合企業家及天使投資的全國網絡)。他同時還是多傢早期技術公司的董事成員。
Petillon先生被Torrance商會譽爲“2000年技術領域最傑出的志願者”,被加州商會譽爲“年度小型企業擁護者”,還獲得洛杉磯縣律師協會頒發的“2005年度商業和企業部分Marvin Greene獎”。
Petillon先生獲得Minnesota大學工商管理學士學位以及加州大學Berkeley分校法律學士學位。他服務于國家證券監管委員會以及美國律師協會的風險資本和私人股本委員會。他還曾經服務于多個加州律師協會委員會,洛杉磯律師協會的工商執行委員會和企業法部門。他撰寫過大量文章,還經常作發展企業融資方面的講座。

Mr. Lee Petillon will give a public lecture on Tuesday, March 16, 7:00-9:00pm, on “Common Problems on Starting and Operating a Small Business.” During the lecture, he will talk about the common issues and problems all start-ups and small businesses face.
Mr. Petillon practices corporate and securities law with Petillon, Hiraide & Loomis LLP, specializing in the representation of early stage technology companies, and private equity funds. He has been an investment banker, corporate counsel for a venture capital fund, a manufacturing firm and a high technology company. He has co-authored two books, "Research & Development Limited Partnerships," published by Clark Boardman Co., in 1984 and 1985; and "Representing Start-Up Companies," published by Thomson West in 1992-2006, and is the author of Chapter 9, Shares of Stock and Shareholders for California Transaction Forms, published by Bancroft-Whitney in 1996.
Mr. Petillon drafted the California Small Corporate Offering Registration (SCOR) bill which became effective January 1, 1993, as well as six other bills introduced in the California Legislature in 1993-2001 to facilitate small company offerings, including the Capital Access Company Act (SB 2189) effective on July 1, 1999, the California Accredited Investor Exemption (AB 1644) 2001, and one bill in Congress: HR 3264, the Small Business Investment Incentive Act of 1999.
He has served as a director of LARTA (Los Angeles Regional Technology Alliance), the California Manufacturing Technology Center, and the South Bay Science Foundation, non-profit organizations dedicated to assisting California based technology and manufacturing firms. He is Legal Counsel and a director of ACE-Net.org, a non-profit national network to bring together entrepreneurs and angel investors. He has also served on the boards of a number of early stage technology companies.
Mr. Petillon was named “Most Outstanding Volunteer, Technology Division – 2000” by the Torrance Chamber of Commerce, and “Small Business Advocate of the Year” for 2001 by the California Chamber of Commerce. He received the 2005 Marvin Greene Award of the Business and Corporations Law Section of the Los Angeles County Bar Association.
Mr. Petillon received a B.B.A. from the University of Minnesota and an L.L.B. from the University of California, Berkeley. He serves on the State Regulation of Securities Committee and the Venture Capital and Private Equity Committee of the American Bar Association, and has served on various committees of the State Bar of California and the Executive Committee of the Business and Corporations Law Section of the Los Angeles County Bar Association. He has written numerous articles and given lectures frequently on financing of growing businesses
