The Chinese markets present enormous opportunities to U.S. businesses, big and small. In particular, Chinese-American entrepreneurs understanding the language and culture are presented with unprecedented opportunities of doing business in China. However, there exist equally imposing challenges, surprises and pitfalls for the unwary and inexperienced. In doing business across international borders, your transactions are subject to laws and regulations of not only the U.S. and China, but also other jurisdictions. The impact of international treaties further complicates matters. How do you ensure that you are complying with all applicable laws while mitigating both legal and business risks and liabilities? It is not just doing business in China. It is much beyond.

Speaker Biographies:

Presenting this seminar in the 2009-2010 NECINA Legal Seminar Series are three experienced lawyers from the international law firm Foley & Lardner LLP with 20 offices across the globe:

Ms. Linda Ji is a member of the Transactions & Securities, Private Equity & Venture Capital, and International Practice Groups, as well as the Emerging Technologies and Life Sciences Industry Teams of Foley & Lardner LLP. Ms. Ji focuses on corporate and securities laws, with over fifteen years' experience.
Ms. Ji has advised both privately and publicly held companies(ranging from start-ups to Fortune 100 companies)in a variety of corporate transactional and securities matters, including company setup, private equity and venture capital financings, mergers and acquisitions, private placement of securities, IPOs and secondary public offerings of securities, as well as public company reporting and securities law compliance.
Ms. Ji worked at Ministry of Commerce of China(MOFCOM)prior to coming to the U.S. Ms. Ji has broad experience in international business transactions, with emphasis on cross-U.S. and China transactions, including:

  • Counseling U.S. companies on deal structuring, choice of entities, joint ventures, wholly foreign owned enterprises(WFOEs), strategic alliances, regulatory filings, as well as manufacturing, distribution and licensing arrangements in China.
  • Counseling Chinese and China-based companies in doing business in the U.S., including entry strategies, corporate re-structuring, financings, mergers and acquisitions, and securities offerings.
Mr. Kenneth Appleby is a partner with Foley & Lardner LLP and concentrates his practice in the areas of federal, state and international taxation. He is a member of the firm's Tax & Individual Planning, and Private Equity & Venture Capital Practice Groups. Mr. Appleby advises clients concerning the tax aspects of both domestic and international merger and acquisition transactions; the design and implementation of tax efficient structures for corporate transactions; international joint ventures; private equity fund formation and investments; and multi-state tax planning.
Mr. Appleby has over 20 years of experience. He is co-author with Marvin Petry of Taxation of Intellectual Property and Technology, a two volume treatise published by LexisNexis. Mr. Appleby is also the author of numerous articles on various federal income tax topics that have been published in both scholarly journals and in the popular press, and is a frequent and nationally-known lecturer on a variety of tax-related topics.

Mr. David Kantaros is a partner with Foley & Lardner LLP, where he is a member of the Private Equity & Venture Capital and Transactional & Securities Practice Groups, as well as the Emerging Technologies and Energy Industry Teams. He represents private equity funds as well as publicly and privately held corporations in the emerging technology and life science industries. Mr. Kantaros has lectured on issues relating to representation of venture capital funds and portfolio companies in private equity financings, representing buyers and sellers in mergers and acquisitions and the structuring of strategic relationships and joint ventures around technology developments.
Mr. Kantaros' experience includes:
  • Counseling high-tech, as well as biotechnology, pharmaceutical and medical device companies as to corporate structure, technology protection and transactional matters
  • Advising venture capital firms in private placement activities and in fund formation, including the structuring of the fund, general partner, management company and the role of principals and limited partners in the various entities
  • Representing public and private companies, as well as investment banking firms, in mergers and acquisitions, public offerings, private placements, including convertible debt transactions, PIPEs, and other forms of equity and debt financings
  • Advising private and public companies on corporate governance matters and regulatory compliance(including SEC and the Sarbanes-Oxley Act)
  • Structuring and negotiating technology license agreements, including master license agreements, OEM agreements, Beta test agreements, shrinkwrap agreements and strategic relationships involving the sharing of technology

About Speakers:

Thomas A. Turano
Mr. Turano is a partner in the Intellectual Property practice area of K&L Gates. Mr. Turano focuses on intellectual property counseling, patent and trademark prosecution, licensing, opinions, transactional due diligence and litigation. He concentrates on start-up and emerging companies helping them to reach their exit strategy. He has both international and U.S. clients and helps them create an IP portfolio that will maximize the business value of a company's intellectual property in the individual jurisdictions of interest. Mr. Turano also represents venture capital firms in their investments in technology companies.
Mr. Turano practices in both the health science related and the tech related industries including medical devices and diagnostics, software, and electronic and optical devices. Mr. Turano was named among the "Best Lawyers in America in Biotechnology Law" in IP Law & Business and is regularly listed in Chambers USA. Mr. Turano has presented a number of seminars and talks in the U.S., Canada and Europe on patent strategy and portfolio development and has been quoted in numerous newspapers and magazines.
Before beginning his law career Mr. Turano was a research scientist at a number of medical schools before becoming a software engineer at a Massachusetts computer company. After obtaining his law degree and prior to joining K&L Gates, Mr. Turano was a partner in the Patent and Intellectual Property practice group of a Boston law firm and was an adjunct professor at Suffolk University School of Law, teaching a course on patent prosecution.

Peter Friedrichsen, CEO, M. Sc(Ind. Eng. & Mgmt)
Bergenstrahle & Lindvall
Peter has a background from Swedish innovation industry, both multinational and SMEs, as business development manager, managing director and CEO. He advises innovative companies in the field of strategy and process development with special focus on the business aspect of innovation. An IPR-portfolio is to be viewed as a portfolio of business opportunities, says Peter. Even an infringement can be viewed as a business opportunity.

Martin Holmberg
European Patent Attorney, M. Sc.(Chem. Eng.)
Bergenstrahle & Lindvall
Martin, who has a background in biotech industry, entered the IPR field in 1992, and joined Bergenstrahle & Lindvall in 1999. He advises start-ups and SMEs mainly in the field of life sciences and med tech. In these fields the inventions, as well as the companies, often originate from academia, which poses particular challenges. IPR should be seen as an integrated part of the business, or even a business tool, says Martin. There is no value in a patent unless it helps you in achieving your business goals.

Zexiong Huang Senior Partner, Patent Attorney
Mr. Huang Zexiong graduated from Nanjing University in 1981, and subsequently worked in the petro-chemical scientific academy of the head office of SINOPEC, whilst completing his dissertation and graduate studies towards obtaining a master's degree in chemical engineering. He joined the Patent & Trademark Law Office of the China Council for the Promotion of International Trade(CCPIT)in 1988, and remained in such office until July 2001.
He is one of the most experienced patent attorneys in the Boss & Young Beijing Office. He has obtained diverse patent law and attorney experience from a number of English and German patent offices, and is fluent in the English and German languages. He has studied and worked in Queen Mary College in London, the European Patent Office, and Grunecker Kinkeldey Stockmair & Schwanhauser Rechtssozietat in Munich. In 2003, he joined Boss & Young Patent & Trademark Attorneys as a partner.
To date, he has acted as attorney for more than 300 clients in over 2,000 cases involving domestic and international patent applications, and numerous matters concerning international patent cancellations and nullifications, patent-related analyses, as well as patent infringements and litigation. His clients include foreign and Chinese enterprises such as the Chinese Academy of Sciences, SINOPEC, the Beijing Institute of Clothing Technology, Exxon-Mobil Corporation, Dow Chemical Corporation, P&G Inc, Union Carbide Corporation, BASF AG, Hoechst AG, Cannon Inc, Kao Corporation, Novartis AG, and others. In addition, under the sponsorship of SINOPEC and as the principal author, he has provided a legal opinion regarding non-infringement of foreign patent rights of SINOPEC's self-developed acrylonitrile production process. He has accumulated diverse practical work experience, and is extremely knowledgeable in the area of patent law. He has built a longstanding and reputable relationship based on trust with his clients. Further, he has also built an excellent working relationship with the examinations department of the Patent Bureau.
He is a committee member of the All-China Patent Attorneys Association.
His working languages are Chinese, English and German.

Dr. Dong Kevin Liu, Ph.D., Senior Partner, Bio/Clean/High-Tech
Dr. Dong Liu is a Senior Partner at Boss & Young Patent and Trademark Law Office in Beijing, China, leading the firm's Intellectual Property(IP)practice in medical device, bio-tech, clean-tech, and other emerging high-tech areas. He is also responsible for the firm's IP licensing and transaction service.
Dr. Liu's career stems from his dedication to the biomedical and pharmaceutical sectors working closely developing and implementing innovation process, invention harvesting, claim drafting, prosecution, litigation, and licensing in a global environment. Dr. Liu's influence in the industry is brought forward from expertise focused on IP from Canada, Denmark, United States and China.
Dr. Liu's past experience includes serving as a Senior Scientist and Group leader at PsychoGenics, Inc., a leader in preclinical neurobiology and provision of drug discovery and contract research services, based in New York. Dr. Liu initiated patent applications for innovations he had led to create, in particular, a repurposed compound for treating attention deficit hyperactivity disorder(ADHD)and a high-efficiency behavioral pharmacology assessment platform employing robotic automation, real-time video processing, and machine learning, both of which significantly contributed to the strong strategic IP assets that extended to support partners and clients. With the breath of expertise in the IP sector Dr. Liu was appointed In-House Patent Counsel and IP manager at Novo Nordisk A/S, a Danish Foundation and Holding Company of publicly listed companies that command leading roles in the biotech industry. Dr. Liu led Novo's IP operation for the Asia-Pacific region within its Intellectual Property & Partnering Organization with a notable success at establishing Novo's first IP operation in China. Dr. Liu later joined Dow Chemical Company as their Intellectual Capital Manager and Director for Dow's Intellectual Capital Management and External Technology for Greater China. Dr. Liu once again was instrumental at successfully building China based local IP capacities that served Dow Chemical's Asia-Pacific business and operation in China, especially for the emerging markets of photovoltaic, flat panel display, water treatment, and pharmaceutical excipients. In parallel to his current position, Dr. Liu is closely associated with the China Investment Promotion Agency, a division of China's Ministry of Commerce that oversees investment activities of foreign companies in China and those of Chinese companies abroad. He is also an advisor to the China Torch Program which administrates China's 54 National Hi-Tech Parks under the Ministry of Science and Technology. In addition, Dr. Liu has recently assumed Deputy Director's capacity at the newly established World Innovation Institute(WII), a think-tank organization to advise the Chinese government on innovation related issues. Comprising of more than 100 members of mostly former senior officials of the central government and industry leaders, WII is posed to play a pivotal role in making critical connections in China to facilitate the advancement of innovation and hi-tech economy.
A native of Shenyang, Liaoning province, Dr. Liu studied medicine at China Medical University and Neurology & Neurosurgery(PhD)at McGill University in Montreal, Canada. Over the years he has received a number of scholarship and fellowship awards as well as the first authorship of both Science and Nature publications.

About Speaker

Ronnie Maffa, Vice President, IBM
Ronnie Maffa is the Vice President of Social Software development at Lotus, IBM Software Group. She is responsible for the product development of business ready social collaboration systems, including Lotus Quickr and Lotus Connections products. Her focus is to explore and innovate in the area of business ready collaboration tools that leverage social networking software concepts and usage patterns to enable business to be more innovative, responsiveness and productive. Her passion is to build software that delivers tangible business value to IBM's clients and business partners. Ronnie joined IBM in 1999 as the development manager for IBM Lotus Notes and IBM Domino Designer. She has a bachelor of science degree in Compute Science from Brown University. She has over 20 years of industry experience in software development.

Joseph Perry, IIC Manager, IBM
Joseph Perry is the Regional Innovation Center Manager for the North American Eastern Region and Canada for IBM's ISV & Developer Relations. Joe has extensive experience with Internet technology and with business consulting. Joe currently is a Ph.D. candidate in the Law, Policy & Society Program at Northeastern University, where he also is an instructor in the on-line MBA program. He has experience working with Fortune 100 clients. Joe's areas of expertise include Internet privacy, health care technologies and policy, and networked communications. He holds an M.B.A.(concentration in technology)from Northeastern University and a B.A. from the University of Massachusetts at Boston
